An SPV Needs Governance Before It Needs Assets

Ownership, authority and controls must be ready to receive the project

A project company creates value only when rights, obligations, decisions and accountability are designed before transfer.

THE IDEA IN ONE VIEW

A project company creates value only when rights, obligations, decisions and accountability are designed before transfer.

Question

Creating a special-purpose vehicle can clarify ownership, financing and delivery, but incorporation alone does not make a project investable.

Evidence

Governance design should begin with reserved matters and decision rights.

Architecture

The transfer perimeter is equally important.

Decision

Public-funding obligations do not disappear when the delivery vehicle changes.

A visual route from the central question to evidence, governance and an actionable decision.

01

Creating a special-purpose vehicle can clarify ownership, financing and delivery, but incorporation alone does not make a project investable. The SPV must be able to receive land rights, contracts, permits, intellectual property, public-funding obligations and financing commitments without creating gaps between the consortium that developed the project and the entity expected to build or operate it.

02

Governance design should begin with reserved matters and decision rights. Boards and shareholders need to know who can approve budget changes, major contracts, related-party transactions, debt, asset transfers, technical deviations and changes affecting the grant. Deadlock, conflicts of interest and information rights should be designed for the project’s real sponsor structure. Generic articles of association rarely address the operational dependencies of a FOAK asset.

03

The transfer perimeter is equally important. Background knowledge, project results, licences, equipment, studies and supplier relationships may sit with different parties. The SPV needs documented rights to use what is necessary for construction, financing, operation and compliance. A transfer that moves commercial opportunity without the corresponding evidence or access rights can leave the company nominally responsible but practically unable to perform.

04

Public-funding obligations do not disappear when the delivery vehicle changes. The parties must test whether the contemplated structure is compatible with the Grant Agreement, call conditions, participant roles and amendment requirements. Communication, procurement, record-keeping, exploitation and audit access should remain enforceable through the new architecture. This may require contractual pass-through obligations rather than reliance on corporate affiliation.

05

The strategic sequence is governance first, transfer second, capital third. Investors and lenders need an entity that can make binding decisions, hold the required rights and produce reliable information. A well-designed SPV concentrates accountability; a poorly designed one fragments it behind a new legal name. The difference lies in whether the project’s technical and institutional reality has been translated into corporate control.

Executive conclusion

The value of this analysis lies in turning complexity into an explicit chain of evidence, responsibility and decisions. Further references and case material will be added only after verification and public-release approval.
